DEFINITION

1. “You” or “User” refers to an individual, business entity, legal entity, and/or other group representing individuals, business entities and legal entities that access or use our services.
2. “We” or including “Widya Robotics” or “Company” refers to PT Widya Inovasi Indonesia which is a business entity in Indonesia.
3. “Third Party” or also known as Affiliate refers to an entity, present and future, which directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with Widya Robotics.
4. “Product” refers to various products offered by Widya Robotics, including Widya Load Scanner, Vision Intelligence, Intelligent Gate.
5. “Services” or also known as “Our Services” refers to the various services offered by Widya Robotics through the Widya Robotics platform.
6. “Platform” or also referred to in this policy as “Website” refers to the web portal owned and operated by Widya Robotics. Currently, this portal is located and can be accessed via www.widya.ai.
7. “Force Majeure” is an event beyond the authority or control including but not limited to natural disasters, power failures, telecommunications disturbances, government policies, and others.
8. “Dispute” is an unlawful act or violation of one or more of the terms and conditions in these Terms & Conditions.

ACCESS TO PLATFORM

1. We do not guarantee that our Platform, nor the content on it, will always be available or uninterrupted.
2. We may suspend, withdraw, discontinue or replace any part of our Platform without prior notice.
3. You are responsible for making all settings on your device needed to gain access to our Platform.

PROHIBITED USE

When you use:

1. In ways that violate applicable local, national and international laws and regulations.
2. In an unlawful or deceptive manner, or has an unlawful or deceptive purpose or effect.
3. For the purpose of harming or trying to harm another person in any way.
4. Send, knowingly receive, upload, download, use, or reuse material that is not in accordance with our content standards.
5. Intentionally forwarding data, sending or uploading material containing viruses, trojans, worms, logic bombs, keystroke loggers, spyware, adware, or other malicious programs or similar computer code designed to have a detrimental effect on the operation of any software or hardware .

1. Our Services may contain links to third party websites or services that are not owned or controlled by Widya Robotics.
2. Widya Robotics has no control over, and is not responsible for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that Widya Robotics is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services available on or through the website or service.

PROPERTY RIGHTS AND INTELLECTUAL PROPERTY RIGHTS CLAUSES

1. You will not acquire any proprietary rights or intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, for the content available on the Widya Robotics Service (including but not limited to all information, software, information, text , letters, numbers, color schemes, logos, images, names, video and audio, features, and design selection and arrangement). You agree not to use Widya Robotics’ intellectual property rights without our prior written consent.
2. You acknowledge that any attempt or violation of these intellectual property rights provisions will result in the termination of all User rights related to the Widya Robotics Service.

SECURITY AND CONFIDENTIALITY

1. Information security and confidentiality your personal formation, is your personal responsibility.
2. All losses and risks arising from your negligence in maintaining the security and confidentiality as stated are borne by you and/or your parents, guardians or guardians (if you are under 18 (eighteen) years old).

LIMITATION OF LIABILITY

We are not responsible for any loss or damage caused by viruses, Distributed Denial of Service (DDoS) attacks, or other technologically harmful materials that may infect computer equipment, computer programs, data, or other proprietary materials.

FORCE MAJEURE/FORCING

You agree to release us from any demands and responsibilities, if we are unable to facilitate the Service, including fulfilling the instructions you give through the Platform, either in part or in whole, due to a Force Majeure.

APPLICABLE LAW & DISPUTE RESOLUTION

1. These Terms & Conditions are governed and construed based on the laws of the Republic of Indonesia.
2. You and We agree that all disputes or disputes arising out of or relating to matters regulated in these Terms & Conditions will be resolved in the following manner:
3. One of the parties must give written notice to the other party. Disputes must be resolved by deliberation and consensus within thirty (30) calendar days from the date of notification.
4. If the Dispute cannot be resolved by consensus until the end of the Deliberative Settlement Period, the First Party and the Second Party agree that the Dispute will be referred to and resolved by the Indonesian National Arbitration Board (“BANI”) according to the rules of arbitration procedure at BANI which is domiciled in Jakarta.

OTHER TERMS

1. These Terms & Conditions may be changed or updated in whole or in part from time to time without prior notice to the User, and will take effect from the time they are uploaded on the Site. Widya Robotics recommends that Users check the Site for any changes to these Terms of Use from time to time.
2. By continuing to access the Widya Robotics Platform, the User is deemed to have agreed to changes to these Terms & Conditions.
3. You will not make any claims or objections to the validity of the Terms & Conditions or Privacy Policy made in electronic form.
4. If you do not comply with or violate the provisions of these Terms & Conditions, and we do not take action directly, it does not mean that we waive our right to take necessary action in the future.
5. These Terms remain in effect even after a temporary suspension, permanent suspension, deletion of the Platform or after the expiration of this agreement between You and Us.
6. If any of the provisions of these Terms & Conditions is unenforceable, it will not affect the other provisions.

The user is deemed to have read and understood all of these Terms & Conditions and their consequences and hereby accepts all rights, obligations, and conditions set forth therein.
